5.1 Pricing

All prices displayed on the Via 313 website are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable sales tax, service fees, or delivery fees unless explicitly stated at checkout. Via 313 reserves the right to correct any pricing errors on the website, even after an order has been submitted.

5.2 Payment Methods

Via 313 accepts major credit cards, debit cards, and other payment methods as indicated on the website or at the point of sale. By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Via 313 to charge your selected payment method for the total amount of your order, including taxes and applicable fees.

Due to the perishable nature of food products, all sales are generally final. Refunds may be issued at Via 313's sole discretion in cases of verified errors, quality issues, or order fulfillment failures. 5.5 Taxes

5.6 Chargebacks

If you initiate a chargeback with your payment provider without first attempting to resolve the issue with Via 313, we reserve the right to dispute the chargeback and may suspend your account pending resolution. Fraudulent chargebacks may result in permanent account termination and referral to appropriate law enforcement authorities.

6. Allergen and Dietary Information

Via 313 makes reasonable efforts to provide accurate allergen and nutritional information for menu items. However, please be aware that our food is prepared in facilities that handle common allergens including, but not limited to, wheat, dairy, eggs, soy, tree nuts, peanuts, shellfish, and sesame. Cross-contamination is possible, and Via 313 cannot guarantee that any menu item is completely free of allergens.

7. Limitation of Liability

7.1 General Limitation

To the fullest extent permitted by applicable law, Via 313, its officers, directors, employees, agents, affiliates, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or other intangible losses, arising out of or in connection with:

  • Any conduct or content of any third party in connection with the Services;
  • Any food products purchased, consumed, or obtained through the Services;

7.2 Cap on Liability

In no event shall Via 313's total cumulative liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of: (a) the total amount paid by you to Via 313 in the twelve (12) months preceding the claim, or (b) One Hundred United States Dollars ($100.00).

7.3 Essential Basis

The limitations of liability set forth in this Section reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between you and Via 313. Via 313 would not provide the Services to you without these limitations.

THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, VIA 313 EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 No Guarantee of Availability

Via 313 does not warrant that the website will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant or make any representations regarding the use or the results of the use of the materials on the website in terms of their correctness, accuracy, reliability, or otherwise.

8.3 Third-Party Links

The Via 313 website may contain links to third-party websites or services that are not owned or controlled by Via 313. Via 313 has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. 8.4 Delivery Services

Where Via 313 utilizes third-party delivery services or platforms, Via 313 is not responsible for delays, errors, or issues arising from those third-party services. Delivery times are estimates only and are not guaranteed. Via 313 disclaims all liability for food quality issues arising from delivery delays caused by third-party delivery services or circumstances beyond our control.

9. Indemnification

You agree to defend, indemnify, and hold harmless Via 313 and its officers, directors, employees, agents, licensors, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees and legal costs) arising from or related to:

  • Your use of or access to the Services;
  • Your violation of any provision of these Terms;
  • Your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights;
  • Any User Content you submit, post, or transmit through the Services;
  • Your violation of any applicable law, rule, or regulation;
  • Any fraudulent, misleading, or deceptive activity you engage in in connection with the Services;
  • Any claim that your use of the Services caused damage to a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Services. Via 313 reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Via 313 in asserting any available defenses.

10. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Via 313 operates, without regard to conflict of law principles that would require application of any other jurisdiction's laws.

You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States in the state where Via 313's principal place of business is located. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the exercise of jurisdiction over you by such courts.

Via 313 operates in compliance with all applicable federal laws of the United States, including but not limited to:

  • The Federal Trade Commission Act (FTC Act), 15 U.S.C. §§ 41–58, governing unfair or deceptive trade practices;
  • The Food Safety Modernization Act (FSMA) and all applicable food safety regulations;
  • The Americans with Disabilities Act (ADA) to the extent applicable to digital accessibility;
  • The Electronic Communications Privacy Act (ECPA) and applicable state privacy laws;
  • The CAN-SPAM Act governing commercial email communications;
  • All applicable state consumer protection statutes.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal legal claim, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") informally by contacting Via 313 at [email protected]. Via 313 will attempt to resolve the Dispute informally by contacting you within thirty (30) days of receiving your notice. If the Dispute is not resolved within sixty (60) days of the initial notice, either party may pursue formal dispute resolution as set forth below.

11.2 Binding Arbitration

Except for claims that qualify for small claims court, any Dispute that cannot be resolved informally shall be resolved by binding arbitration administered by a recognized arbitration organization in accordance with its rules and procedures. The arbitration shall be conducted in the English language in the state where Via 313 maintains its principal place of business, or via telephonic or video conference as mutually agreed. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction.

11.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Unless both you and Via 313 agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, privacy rights, or confidential information. Claims for emergency relief are not subject to the arbitration requirement set forth herein.

12. Term and Termination

12.1 Term

These Terms shall remain in full force and effect for as long as you access or use the Services, maintain an account with Via 313, or engage with Via 313's website or digital platforms in any capacity.

12.2 Termination by You

You may terminate your relationship with Via 313 at any time by ceasing to use the Services, deleting your account (if applicable), and providing written notice to Via 313 at [email protected]. Termination does not entitle you to a refund of any amounts previously paid, except as expressly provided in the refund policy set forth in these Terms.

12.3 Termination by Via 313

Via 313 reserves the right, in its sole discretion and without prior notice or liability, to:

  • Modify, suspend, or discontinue any portion of the Services, temporarily or permanently;
  • Refuse service to any individual or entity for any lawful reason;

12.4 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, payment obligations, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution provisions.

Via 313 reserves the right to revise, modify, or update these Terms of Service at any time and at its sole discretion. When changes are made, we will update the "Last Updated" date at the top of this page. If any provision, clause, or part of a provision of these Terms is determined by a court of competent jurisdiction or an arbitrator to be illegal, invalid, unenforceable, or contrary to applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be made enforceable, it shall be deemed severed from these Terms.

The invalidity or unenforceability of any particular provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall remain in full force and effect as if the invalid or unenforceable provision had never been included. The parties expressly agree that in the event any such provision is found to be invalid or unenforceable, they shall work in good faith to negotiate a replacement provision that is valid and enforceable and that comes as close as possible to expressing the original intent of the invalid or unenforceable provision.

15. Additional Legal Provisions

15.1 Entire Agreement

These Terms, together with the Via 313 Privacy Policy and any other policies incorporated by reference herein, constitute the entire agreement between you and Via 313 with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, representations, warranties, and negotiations, whether written or oral, relating to such subject matter.

15.2 Waiver

The failure of Via 313 to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver by Via 313 of any breach or default under these Terms shall not be deemed a waiver of any subsequent breach or default and shall not affect the other terms of these Terms.

15.3 No Agency or Partnership

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between you and Via 313. You do not have any authority of any kind to bind Via 313 in any respect whatsoever, and Via 313 shall have no obligation to indemnify or hold harmless you for any costs or damages arising from your independent activities.

15.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without Via 313's prior written consent. Via 313 may freely assign these Terms and its rights and obligations hereunder, including in connection with a merger, acquisition, corporate restructuring, sale of assets, or by operation of law, without restriction or notice to you.

15.5 Force Majeure

Via 313 shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond Via 313's reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, government actions, labor disputes, supply chain disruptions, power failures, or internet outages. In the event of such force majeure, Via 313 will use commercially reasonable efforts to resume performance as soon as practicable.

15.6 Electronic Communications

By using our Services or communicating with us electronically, you consent to receive electronic communications from Via 313. You agree that all agreements, notices, disclosures, and other communications that Via 313 provides to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.
